Directors' Correspondence Address Search Arrangement
New Search Arrangement: Effective from 24 October 2022
The Companies Ordinance (Cap. 622) provides for new search arrangements for personal data contained in the company registers maintained by the Companies Registry (hereinafter referred to as the “Registry”).
Prior to the enactment of the Companies Ordinance, the Company Registry maintained a company register for public inspection, containing personal data including the Residential Addresses of directors of the company. Similar personal data was available for public inspection in the company register.
Under the new Companies Ordinance, the Correspondence Address of a director will replace the Usual Residential Address in the company’s register for public inspection. Ordinarily, the Residential Address (hereinafter referred to as “protected information”) may only be obtained by “identified persons” upon application. Similarly, on the register kept by the company, the company may withhold protected information from the public.
Under section 641 (2) of the Companies Ordinance, local companies are required to ensure that their register of directors contains the Correspondence Address of directors. If the company fails to comply with the requirements, the company and each of its officials are guilty of an offence and may be subject to fines or, if the offence in question is a continuing offence, a further fine of $700 per day of the duration of the offence.
Specified persons may apply for disclosure of protected information by:

Only specified categories of subordinate natural persons may apply online through a special account:
- a liquidator
- a trustee in bankruptcy
- a public officer or public body
- a person specified in the Schedule to the Regulation
- a solicitor or foreign lawyer
- a certified public accountant (practising)
- a financial institution or designated non-financial businesses and professions (DNFBP)
- If a specified class of persons is not a natural person, an application for the disclosure of protected information must be made by the authorized representative through the special account of the authorized representative.
